Terms of Service

1. Acceptance of Terms
By accessing or using FundQuill (the "Service"), operated by Mitikasha LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service. FundQuill is a product of Mitikasha LLC, a Wyoming limited liability company with its principal place of business at 30 N Gould St, Ste N, Sheridan, WY 82801, United States.
2. Description of Service
FundQuill is a browser-based application for importing and auditing Excel financial models
(.xlsx): checking their integrity, tracing formula dependencies, recalculating
them, and stress-testing their assumptions. All processing runs locally on your device, inside
your browser; your models are never uploaded to or stored on our servers. The Service offers a
free tier, a paid FundQuill Pro tier, and FundQuill Firm,
which adds capabilities for teams.
3. Licenses and Tiers
3.1 Free, Pro, and Firm
Core features (importing a model, the integrity audit, the dependency map, what-if recalculation, and error detection with one-click fixes) are available at no charge. FundQuill Pro unlocks scenarios and stress testing, sensitivity and tornado tables, Monte Carlo simulation, the signed reproducible audit report, and downloadable model templates. FundQuill Firm includes everything in Pro and adds shared assumption libraries and exportable audit trails. Both paid tiers are offered as a recurring Subscription. A license key activates your plan on your device(s), up to the device limit of the plan you purchased.
3.2 Billing
FundQuill Pro and FundQuill Firm are sold through Paddle, which acts as our Merchant of Record and handles payment processing, tax calculation, invoicing, and billing compliance. Our order process is conducted by our online reseller Paddle.com. By purchasing, you also agree to Paddle's buyer terms. Prices shown exclude VAT and sales tax, which are added at checkout where applicable. Charges on your statement appear as "PADDLE.NET* MITIKASHA." Firm is billed per seat, subject to a minimum seat count shown at checkout. Refunds, and how seat changes are billed, are governed by our Refund Policy.
3.3 License Use
Your license key is for your own use. You may not share, resell, sublicense, or publish your license key, or attempt to generate, tamper with, or circumvent license keys or the Service's licensing and usage controls.
This does not restrict the ordinary operation of a Firm team. A Firm admin is expected to distribute invite codes to the people occupying that team's seats, and each invite code activates one seat for one person. An invite code is not a license key, and issuing one to a team member is not sharing under this section.
3.4 Firm Teams, Seats, and Admins
A Firm subscription creates a team, administered by the person who purchased it. Seats are occupied by team members who activate an invite code. Each seat carries the same device limit as an individual plan.
The team admin controls the team's seats. An admin can change the seat count, revoke a seat, and reset the device binding on a seat. Revoking a seat ends that member's paid access to the Service. If you occupy a seat on a team you did not purchase, your access depends on that team's subscription and on the admin's decisions, and it ends if the seat is revoked or the team's subscription lapses, is cancelled, or is refunded. Seat changes are billed as described in the Refund Policy.
An admin acts for their organization. If you are an admin, you are responsible for having the authority to administer access for the people you invite, and for telling them that their seat is administered by you.
4. Your Data and Responsibility
You retain all rights to the models you open in FundQuill; we never receive them. You are solely responsible for the models you handle and for ensuring you have the right to view, audit, or modify them.
Verifying results is your responsibility. FundQuill's audit, dependency-tracing, recalculation, and simulation features are designed to surface problems in a model accurately, but automated analysis cannot be guaranteed to find every error, or to be correct for every workbook or use case. A clean audit is not an assurance that a model is correct. You must review and verify the output before relying on or distributing any result. FundQuill provides tooling, not a guarantee of correctness, and does not provide legal, financial, or professional advice.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law
- Reverse-engineer, decompile, or attempt to extract the Service's proprietary engine or components
- Circumvent, disable, or interfere with licensing, security, or usage controls
- Resell or redistribute the Service or your license key without authorization
- Use the Service to infringe the rights of others or to process data you are not authorized to handle
6. Intellectual Property
The Service, including its design, code, user interface, and its processing engine, is owned by Mitikasha LLC and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service; they do not transfer any ownership to you. You retain ownership of your own data and its contents.
7. Privacy
Your use of the Service is also governed by our Privacy Policy, which explains that your data is processed locally and never sent to us.
8. Disclaimer of Warranties
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that every operation will produce correct results for your data.
9. Limitation of Liability
To the maximum extent permitted by law, Mitikasha LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, profits, or business opportunities, or for any incorrect result in data you failed to verify. Our aggregate liability for any claim is limited to the amount you paid for the Service in the twelve months preceding the claim.
10. Service Availability
We strive to keep the Service available but do not guarantee uninterrupted access. We may update, modify, or discontinue features at any time.
11. Termination
We may suspend or terminate your access or license if you materially violate these Terms. You may stop using the Service at any time; uninstalling or clearing site data removes your local license.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Your continued use of the Service after changes take effect constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles. Nothing in this section limits any non-waivable consumer rights you may have under the laws of your country of residence.
